Business Terms of Service

ImageL10n is a product owned and operated by StructOCR (“StructOCR”, “we”, or “us”). These Terms govern your access to and use of ImageL10n’s image text recognition, translation, editing and export platform (the “Services”). ImageL10n is the product name, not a separate service operator. StructOCR supplies and supports the Services; Paddle acts as Merchant of Record for purchases made through Paddle.
By purchasing Credits, using the Services, or creating an account, you (the “Client”) agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
1. Definitions
- “Platform” means the ImageL10n website, editor and supporting services provided by StructOCR.
- “Credits” means the pre-paid units of value purchased by the Client to use the Services, or promotional units expressly granted by us.
- “Customer Data” means images, source text and other content uploaded or submitted by the Client for processing.
- “Merchant of Record” means Paddle, the third-party reseller that handles billing, payment processing and tax compliance for purchases made through Paddle.
- “Resultant Data” means translated text, text coordinates, saved edits and localized images generated using the Services.
2. Services and Credits
2.1 Provision of Services. StructOCR grants Client a non-exclusive, non-transferable and revocable right to access the Services for Client’s business or personal use, subject to these Terms and applicable Credit requirements. Client may publish and commercially use exported results to the extent Client has the necessary rights to the underlying content.
2.2 Pay-As-You-Go Model. Paid processing is provided on a pre-paid, pay-as-you-go basis. Prices and the Credits included in each pack are disclosed before purchase. Current credit packs are one-time purchases, not automatically renewing subscriptions.
- Consumption: One Credit is reserved per image translated into one target language. A job that finishes with a processing failure returns its reserved Credit. A new translation request, including another language, consumes another Credit. Editing or exporting an existing result does not consume another processing Credit.
- Validity: Purchased ImageL10n Credits do not currently expire automatically. Any different conditions for future purchases or promotions will be disclosed before purchase or acceptance.
- Product separation: ImageL10n Credits, purchases and usage records are separate from StructOCR OCR and Tools balances. Sharing an account does not make Credits transferable between products.
2.3 Shared Account and Security. ImageL10n uses StructOCR’s shared account identity. You may sign in using your existing StructOCR credentials. Password changes and deletion of the shared identity may affect access to both products. Client is responsible for maintaining the confidentiality of account credentials and for authorized usage through that account.
3. Billing and Payments (Paddle)
3.1 Payment Methods and Merchant. Our order process is conducted through Paddle, our authorized reseller and Merchant of Record. Paddle is the seller for these transactions and handles payment collection, applicable taxes and payment-related support. StructOCR remains the operator and supplier of ImageL10n. Purchases are subject to the Paddle Buyer Terms in addition to these product-use Terms. ImageL10n does not currently accept cryptocurrency payments.
3.2 Taxes. Unless stated otherwise, listed fees exclude applicable taxes. Paddle calculates and collects sales tax, VAT or similar levies based on the Client’s jurisdiction. Review the final price and currency shown at checkout before paying.
3.3 Refund Policy
For ImageL10n purchases via Paddle, we offer a full refund if you are unsatisfied and request it within fourteen (14) days of the transaction date, subject to the abuse exception below. This is our product-specific policy, in addition to rights provided by applicable law and Paddle’s policies.
- To request a refund, email [email protected] or contact Paddle buyer support within 14 days. Include your purchase email and transaction reference, but never your full card details.
- Refund requests may be declined where there is evidence of abuse, including substantial consumption of Credits followed by an abusive refund request, except where a refund is required by applicable law or granted by Paddle.
- Refunds are processed through Paddle, not paid separately by StructOCR. Credits associated with a refunded purchase are revoked; refunds or payment disputes may result in a Credit adjustment or a temporary billing hold.
- The Paddle Refund Policy and mandatory consumer rights continue to apply. Nothing in these Terms limits statutory withdrawal rights, legally required refunds, or Paddle’s authority to issue a refund.
4. Data Privacy and Security
4.1 Privacy Policy. The collection and use of Personal Data in connection with the Services are governed by the ImageL10n Privacy Policy, which is incorporated into these Terms by reference.
4.2 Customer Content. Opening an image for local editing does not itself upload that image. Requesting cloud translation uploads it for processing, including recognition and translation through Google’s Gemini API. Cloud source images, results and explicitly saved edits are retained to let you reopen your projects; they are not subject to StructOCR OCR’s 24-hour document purge. You may request deletion through support. Local-only and unsaved edits may be lost when you close or reload the editor. Keep independent copies of important files.
4.3 Ownership. Client retains all right, title and interest in and to the Customer Data and Resultant Data, to the extent permitted by law and subject to third-party rights. StructOCR retains all rights to the Services and underlying technology. Client grants us permission to process Customer Data as necessary to provide the requested Services.
5. Acceptable Use
Client shall not, and shall not permit any third party to:
- Reverse engineer, decompile, or attempt to extract the source code or underlying algorithms of the Services, except to the extent permitted by mandatory law.
- Use the Services to train a competing machine learning or OCR model.
- Bypass rate limits or attempt to interfere with the integrity or security of the Platform.
- Upload data containing malicious code or violating third-party intellectual property or privacy rights.
- Create multiple accounts or use automated means to bypass free Credit limits.
6. Termination and Forfeiture
6.1 Termination for Breach. StructOCR may suspend or terminate Client’s account immediately upon written notice if Client materially breaches these Terms or the Acceptable Use provisions.
6.2 Effect of Termination. Upon termination for breach, Client’s access to the Platform will be revoked. Any remaining ImageL10n Credit balance will be forfeited and cleared to zero. No refunds or Credits will be issued for forfeited balances resulting from a breach of contract, except as required by applicable law or Paddle’s applicable transaction terms.
7. Warranties and Disclaimer
7.1 Service Performance. StructOCR warrants that the Services will perform materially in accordance with the Documentation.
7.2 Recognition and Translation Disclaimer. Client acknowledges that OCR, automated translation and layout reconstruction are not 100% accurate. Review all text and exported images before publishing. The current editor uses solid-color fills to replace source text and does not promise seamless repair of complex backgrounds.
THE SERVICES ARE PROVIDED “AS IS.” EXCEPT AS EXPRESSLY PROVIDED ABOVE AND TO THE EXTENT PERMITTED BY LAW, STRUCTOCR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. STRUCTOCR DOES NOT GUARANTEE THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR LOST PROFITS OR CONSEQUENTIAL DAMAGES. STRUCTOCR’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE TOTAL AMOUNT PAID BY CLIENT FOR IMAGEL10N CREDITS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED.
9. General Provisions
9.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles, subject to mandatory consumer protections that apply to Client.
9.2 Jurisdiction. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in the county where StructOCR is headquartered, except where mandatory law provides otherwise. These provisions govern your relationship with StructOCR, not the separate Paddle Buyer Terms.
9.3 Assignment. Client may not assign this Agreement without the prior written consent of StructOCR.
9.4 Entire Agreement. These Terms constitute the entire agreement between the parties regarding the subject matter and supersede all prior proposals or communications.
